In addition to any notes or terms specified on the Purchase Order, all Purchase Orders placed by TRIAX Precision Manufacturing LLC (hereafter TRIAX) have the following Terms and Conditions in effect.

1) TRIAX reserves the right to inspect all incoming products and / or services to ensure that the received items / services conform to all specifications, processes, procedures, equipment, or other quality metrics as applicable. Any product or service found not to be in conformance through an incoming inspection may be returned at the Supplier’s expense.

2) All personnel that work on or provide the product or service specified in the Purchase Order will be qualified for the role that they are performing. The Supplier may be required to substantiate the qualifications of such personnel.

​

3) The Supplier’s quality management system must be adequate to ensure that the product or service provided is of a high quality and will meet all specifications within the Purchase Order. TRIAX may require an audit of the quality management system or substantiation that the quality management system has been audited by an authorized third party.

​

4) Where applicable, the product or service provided to TRIAX will match the specified description of the item or service, the specifications of any drawings provided, process requirements given, inspection instructions, catalog number, item number or any other technical data provided.

5) All Supplier Quote, Order confirmation and Packing Slip documentation must include for each line item:  Material Specification; Material Size & Quantity; TRIAX Part Number (where provided in RFQ); DFARS, Non-DFARS or Domestic origin; Lead Time for Delivery; Order Confirmation must specify delivery date.

​

6) As applicable, TRIAX may require specific methods of design, test, examination, inspection, or other related instructions. The Supplier will conform with any of these instructions as specified.

​

7) As necessary and upon request, the Supplier will provide test specimens to ensure quality.

​

8) The Supplier will notify TRIAX of any nonconforming product / service and will provide arrangements for either the approval of the nonconforming product / service or provide a conforming product / service if the approval of the nonconformance is deemed by TRIAX as not possible.

9) The Supplier will notify TRIAX of any changes in the item, product or process at any point in the purchasing process and obtain approval from TRIAX for any changes.

​

10) TRIAX reserves the right of access to Supplier’s facilities by TRIAX personnel, any customers of TRIAX, or any regulatory authorities associated with TRIAX as applicable. This right of access applies to all applicable documents relating to the purchasing history and relationship of TRIAX and the Supplier.

11) The requirements specified in these Terms and Conditions, all key characteristics, as well as any requirements defined in a Request For Quote (RFQ), Request For Proposal (RFP), Purchase Order (PO) or other purchasing documents will flow down to any sub-tier Suppliers.

​

12) Supplier will retain records of all transactions with TRIAX for an appropriate time period, however such time period not to be less than 3 years.

​

13) Supplier will ensure that no counterfeit items, parts or products are used on TRIAX items or products, or are sold to TRIAX.  If counterfeit items, parts or products are found after the completion of the terms of the Purchase Order, the Supplier will notify TRIAX immediately.

​

14) All items or products provided to TRIAX are to remain FOD (foreign object debris / damage) free at all times.

​

15) Supplier shall conform to any ITAR requirements listed on any drawings or documents provided by TRIAX.

​

16) Supplier will ensure that all persons working on items, products or services supplied to TRIAX are aware of:

​

a) Their contribution to product or service conformity

b) Their contribution to product safety

c) The importance of ethical behavior

​

17)  Supplier will review and follow any and all additional terms specified on the part drawing.  Additional information or clarification can be provided by TRIAX upon request.

​

18) These Terms and Conditions supplement all requirements listed in the TRIAX Supplier Quality Manual which is available on the TRIAX website at www.triaxpm.com . If any such terms are in conflict, the Supplier Quality Manual will govern, unless additional information provided by TRIAX on a case-by-case basis supersedes any other specific terms.
